THIS IS A LEGAL AGREEMENT BETWEEN YOU (THE "SUPPLIER") AND HOLIDAY ZONE PTY LTD (HERINAFTER REFERRED TO AS "BOOKDIRECT2SAVE" OR "HOLIDAY ZONE"). BY CLICKING ON THE "I ACCEPT" BUTTON AT THE END OF THIS AGREEMENT YOU AGREE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.

DELIVERABLES

BookDirect2Save will promote your property through many distribution channels these will include but are not limited to BookDirect2Save.com.au.

Depending on the capabilities of your Property Management System, BookDirect2Save online booking system may be able to access rates and inventory directly from your system without manual entry of allotments and rates.

Booking commission for bookings generated via the BookDirect2Save online booking system is 10% of any bookings made (INCLUDES GST).

Supplier is to charge the guests directly when a booking is received for deposits.
BookDirect2Save or Holiday Zone does not charge guests any fees and shall not be held responsible.

TERMS & CONDITIONS

1. This Agreement commences on submission to add your property on continuous basis unless notified as in writing as specified in [2.]
2. In consideration of you supplying Inventory and Accommodation Data ["data"] by the listing of your property, BookDirect2Save will publish this data on, including but not limited to, BookDirect2Save.com.au.
3. The Supplier must supply inventory and data to BookDirect2Save to be published on BookDirect2Save network;
4. The Supplier authorises Holiday Zone to use relevant marketing material ["data"] including, logo(s), property images, property information (property description, room information, features, location etc) through the BookDirect2Save network of websites when marketing the property. This data information may be taken from the property website or supplied by the Supplier.
5. The promotional websites will be advertised through various Internet advertising programs, marketing through various search engines.
6. The promotional website will include the Suppliers branding, logo, pictures and other branding, marketing material supplied by the Supplier. Holiday Zone will write content specific to the property.
7. The Supplier will pay to Holiday Zone Pty Ltd 10% commission of total booking amount made as booking commission for any bookings made within the month regardless of arrival or departure date of booking made. These fees are inclusive of GST and non-refundable. Supplier should take this into consideration when setting the room rates.
8. The Supplier will charge Customers directly and Holiday Zone shall not be held responsible.
9. Commission is billed on the 1st week of each month. Monthly charges will include the commission on all booking made for the previous month regardless of arrival or departure date of booking.
10. Payment must be received within 30 days of invoice or service will be temporarily suspended and a re-connection fee of $100 will be charged. To ensure services are not disrupted, we recommend that Suppliers keep track of payments and that they receive their monthly invoices on time, otherwise Supplier should alert Holiday Zone by emailing to accounts@holidayzone.com.au.
11. Supplier will incur an interest rate of 9.5% on invoices overdue for more than 30 days.
12. Should the Supplier fall behind with payments, Supplier accepts the term that any fees associated with debt recovery or legal action will be payable by the Supplier.
13. Supplier will honor all online cancellation or amendment made through the booking system by Customer in accordance to The Supplier's booking or cancellation terms and conditions / policy at time of booking. The Supplier will undertake responsibility for covering the loss from any cancellation or no-show by making sure their Supplier policies or terms and conditions are correct and updated.
14. The Supplier will undertake to make the product available and honor all bookings made at the quoted sell rates at all times during the period of this agreement plus 60 days post the agreement. The Supplier is to ensure that the quoted sell rates available to BookDirect2Save are the same as or cheaper than those sell rates listed on all other websites including Wotif.com and the Supplier's official property website.
15. The Supplier will be responsible and not publish, or make available, their password to any third party. Holiday Zone shall not be held responsible.
16. The Supplier will be responsible for the Customer's personal and credit card information and will not disclose to any third party or misuse these information.
17. The Supplier will be responsible for charging the Customer directly for any extra usage of facilities, services or consumption during the Customer's stay. Holiday Zone will only charge the Supplier for 10% booking commission.
18. The Supplier understands that all details of this agreement are to be kept confidential.
19. BookDirect2Save will distribute the Supplier's Inventory to On-line Customers via websites including but not limited to BookDirect2Save.com.au and its network sites.
20. BookDirect2Save will provide the Customer with reservation confirmation once a booking has been made and provide the Customer with your contact details for post booking requests, cancellation and amendment of bookings.
21. BookDirect2Save has the right to remove, at its sole discretion, any offensive or inappropriate material from BookDirect2Save without giving notice to you.
22. BookDirect2Save has the right to make changes, including but not limited to, enhancements amendments to BookDirect2Save network of website and the BookDirect2Save online booking system without notice to you.
23. BookDirect2Save has the right to make changes to this Agreement from time to time. Any such changes will be notified to you on the BookDirect2Save website.
24. BookDirect2Save does not warrant that the access to BookDirect2Save online booking system or its use will be uninterrupted, virus-free, error free, continuous or fault-free as the operation of the site may be interfered with by numerous factors outside the control of BookDirect2Save.
25. The Supplier represents and warrants that you are the owner or are legally authorised to act on behalf of the owner of the Inventory and complies with all applicable laws, statues, ordinances and regulations.
26. To the extent permitted by law, Holiday Zone liability for breach of any implied warranty or condition, which cannot be excluded by this Agreement, is limited, at their option, to one or more of the following:
    (a) the cost or replacement of the access to Holiday Zone Pty Ltd; or
    (b) the cost or repair of the access to BookDirect2Save.
27. BookDirect2Save relies on the Supplier's continued observance of this Agreement. In the event Holiday Zone suffers loss or damage or incurs any costs associated with the Supplier's breach of any of the terms of this Agreement or any associated legal obligation, then the Supplier agrees to indemnify Holiday Zone for those losses, damages and costs.
28. Holiday Zone will not be liable to the Supplier for any loss, damages, cost or expense for any booking cancellations for the Supplier's Inventory. The Supplier will be responsible for imposing any cancellation fees directly with the Customer in accordance with its usual payment terms and conditions.
29. Holiday Zone liability to the Supplier for any claims or actions arising from this Agreement will be limited to the aggregate of the Referral Fees paid by the Supplier as at the date of the claim or action under this Agreement.
30. The Supplier releases and discharges Holiday Zone from any action, proceeding, claim or demand which is or may be brought, made or prosecuted or threatened against Holiday Zone in respect of any loss of or damage that may arise either directly or indirectly in any way connected to the Supplier's use of BookDirect2Save.
31. Holiday Zone reserves the right to suspend access or terminate the Agreement effective immediately by providing written notice, including by email, if:
    (a) the Supplier commits a breach of any of the terms in this Agreement;
    (b) the Supplier commits a serious or persistent breach of any of the provisions of this Agreement or performs any wrongful act or misconduct or any other wrongful or negligent act or does anything as a result of which Holiday Zone shall incur liability to any person; or
    (c) the Supplier becomes, threatens or is in jeopardy of suffering an Insolvency Event; or
    (d) the Supplier fails to make the necessary payment within the stipulated period after 2nd reminder email or letter.
32. The supplier may terminate this agreement at anytime by providing 60 days notice subject to settling any current or future commissions due to Holiday Zone within 7 days of notice.
33. The parties undertake to take all reasonable steps to ensure the integrity and confidentiality of the Personal Information obtained pursuant to this Agreement.
34. A party will indemnify and keep the other indemnified against all costs (including reasonable legal costs) expenses, losses, claims, orders and determinations suffered or incurred by, or made against, a party as a result of the other party not complying with its obligations, determinations or orders regarding privacy.
35. Holiday Zone reserves the right to all Intellectual Property developed within the term of this agreement or owned by Holiday Zone at the time this agreement commenced. This may include but not limited to websites, domain names, marketing strategies and campaign content and website content and photography where owned by either BookDirect2Save or Holiday Zone.
36. Holiday Zone reserves the right to promote the Supplier as a client of Holiday Zone or BookDirect2save and include the Supplier's logo, name and contact details in marketing and advertising programs.
